【英文契約】Payment Term：円建ての支払いへの修正方法について（支払通貨）

英文契約の支払通貨

海外企業との取引の際に締結する英文契約では、支払通貨に関する規定があります。当然のことながら、異なる通貨間の取引では当事者のいずれかが為替レートの変動リスクを取ることとなりますので、日本企業としては、為替リスクを避けるために円建てでの取引が望ましいです。そこで、英文契約における円建てでの支払条件（Payment Term）を以下のように（ライセンス契約を例に）修正することが考えられます。

【修正前】

 All invoices are payable in US Dollars within thirty(30) days after the receipt of the relevant invoice.

【修正後】

All invoices are payable in Japanese Yen within thirty(30) days after the receipt of the relevant invoice. The Licensee shall pay the License Fees based upon an exchange rate of USD1.00 = JPY110.00.  In the event that the exchange rate vary by more than 5% at the time of supply of the services, both parties will discuss the License Fees in accordance with the then current exchange rate.

※円建てにすることで為替リスクを回避できる一方、円ドルの換算レートに関する定めが必要になります。
